These Terms of Service (“Terms”) govern your access to and use of our website https://goldfinncws.com (“Website”) and the Goldfinn CWS brand monitoring, threat detection, and business intelligence services (“Services”, “Goldfinn CWS”).

By accessing or using our Website or Services, you (“User,” “Client,” “You,” “Your”) agree to be legally bound by these Terms.
If you do not agree with these Terms, you must not access the Website or use our Services.

1. Services Description

Goldfinn CWS offers:

• Comprehensive monitoring of brands across the Trademark Registry (TMR) and Non-TMR sources (e-commerce platforms, social media, domain names, news portals, etc.)
• Identification and reporting of potential brand threats
• Business intelligence insights and industry-specific reports

Important:
We do not provide legal representation, legal advice, or guarantees of outcomes unless expressly stated through a separate engagement with qualified legal professionals.

 

2. Eligibility

By using our Services, you represent and warrant that:

• You are at least 18 years old;
• You have the legal authority to bind your company (if applicable);
• You are not prohibited by applicable law from using our Services.

 

3. Account Registration and Security

• You may need to create an account to access certain features.
• Registration requires OTP authentication and may support Google/Apple login.
• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to notify us immediately of any unauthorized use or security breach.

We are not liable for any loss or damage arising from your failure to secure your account.

4. Subscription and Billing

• Service is offered on a subscription basis per brand.
• Annual Subscription Fee: ₹30,000 + 18% GST per brand (subject to periodic updates).
• Subscriptions must be renewed before expiry to continue receiving Services without interruption.
• Payment is non-refundable except as expressly stated in these Terms.

 

Additional Services and Charges

•  The Annual Subscription Fee for Goldfinn CWS covers only the brand monitoring and threat detection services offered under the CWS platform.
• Business Intelligence Services, Brand Expansion Services, Industry Insights, Custom Reports, and other offerings under the Opportunities section are separate services.
  These services are not included in the Annual Subscription package and are chargeable additionally as per the applicable rates and service-specific terms at the time of availing such services.
• Subscription to CWS does not create any entitlement or automatic access to these additional services.
• Users may choose to purchase these services independently through the Opportunities section or as per custom quotations provided.

We use secure third-party payment gateways.
We are not responsible for any issues arising out of payment gateway failures.

 

5. User Obligations

By using our Services, you agree to:

• Provide accurate, complete, and current information
• Update your information as needed
• Use the Services for lawful purposes only
• Not misuse, reverse engineer, or attempt to disrupt the Website or Services
• Respect intellectual property rights of Goldfinn and third parties
• Maintain the confidentiality of any insights, reports, or threat information provided

You are solely responsible for actions based on the information received through our Services.

6. Intellectual Property Rights

• All content, designs, software, data, reports, methodologies, and materials provided through Goldfinn CWS are owned by Goldfinn or its licensors.
• You are granted a limited, non-exclusive, non-transferable right to use the Services solely for your internal business purposes.
• You must not reproduce, distribute, create derivative works of, publicly display, or otherwise exploit any content without prior written permission.

7. Confidentiality

We agree to maintain confidentiality of your brand data and any other sensitive information shared with us for service purposes.
Similarly, you agree to treat our methodologies, threat detection processes, and reports as confidential.

This obligation survives termination of services.

8. Disclaimers

• The Services are provided on an “as is” and “as available” basis.
• We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
• While we strive to detect potential threats early, we do not guarantee complete protection from infringement, misuse, or legal consequences.
• Decisions based on our alerts, insights, or reports should be independently evaluated.

Goldfinn CWS is a monitoring and intelligence system, not a legal substitute.

9. Limitation of Liability

To the fullest extent permitted by law:

• Goldfinn and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages;
• Our total liability for claims relating to the Services shall not exceed the amount paid by you for the Service subscription in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Goldfinn, its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of:

• Your use of the Services
• Your violation of these Terms
• Your infringement of any intellectual property or other rights of any person or entity

11. Termination

We reserve the right to:

• Suspend or terminate your access if you breach these Terms
• Modify, suspend, or discontinue any part of the Services without notice

Upon termination, your right to use the Services will cease immediately, and any outstanding obligations (including payment) will survive.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
You agree that disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India.

13. Changes to Terms

We may update these Terms from time to time.
Changes will become effective upon posting the updated Terms on our Website.
Your continued use of the Services after changes signifies your acceptance of the updated Terms.
